APBP Debate Timer – Terms and Conditions

1. Acceptance of Terms

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Mithium.

2. Description of Service

AP-BP Debate Timer is a utility application designed to help users time parliamentary debates in the Asian Parliamentary (AP) and British Parliamentary (BP) formats. The App provides:

• Customizable timing configurations for different debate formats
• Audio, visual, and haptic notifications for timing cues
• Speaker management and tracking
• Local storage of preferences and settings

The App operates offline and does not require an account or internet connection for core functionality.

3. License and Restrictions

3.1. Limited License

Subject to your compliance with these Terms, Mithium grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial use.

3.2. Restrictions

You agree not to:

• Modify, reverse engineer, decompile, or disassemble the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the App for any unlawful purpose or in violation of any applicable laws
• Distribute, sell, lease, rent, lend, or sublicense the App to any third party
• Use the App in any manner that could damage, disable, overburden, or impair the App
• Attempt to gain unauthorized access to any part of the App or its systems
• Use automated systems or software to extract data from the App

4. User Responsibilities

You are responsible for:

• Maintaining the security of your device
• Ensuring your use of the App complies with all applicable laws and regulations
• Any consequences resulting from your use of the App in debate competitions or educational settings

"Mithium" and "AP-BP Debate Timer" and related logos are trademarks of Mithium. You may not use these trademarks without prior written permission from Mithium.

6. Third-Party Services and Content

The App may interact with or contain links to third-party services, platforms, or content. Mithium is not responsible for:

• The availability, accuracy, or content of third-party services
• Any damages or losses arising from your use of third-party services
• Third-party privacy practices or terms of service

Your use of third-party services is at your own risk and subject to their respective terms and policies.

7. Disclaimers

7.1. "As Is" and "As Available"

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

7.2. No Guarantee of Accuracy

While we strive to provide accurate timing functionality, Mithium does not guarantee that:

• The App will be uninterrupted, secure, or error-free
• Timing will be perfectly accurate in all situations
• The App will meet your specific requirements
• Any defects or errors will be corrected

7.3. Competition Use

If you use the App in official debate competitions, you are solely responsible for ensuring it meets the competition's requirements and rules. Mithium is not liable for any disqualifications, disputes, or issues arising from the App's use in competitive settings.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• MITHIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE APP
• MITHIUM'S TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY)
• MITHIUM SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, LOSS OF PROFITS, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mithium, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

10. Termination

10.1. By You

You may stop using the App at any time by uninstalling it from your device.

10.2. By Mithium

Mithium reserves the right to suspend or terminate your access to the App at any time, without notice, for any reason, including if we reasonably believe you have violated these Terms.

10.3. Effect of Termination

Upon termination, your right to use the App will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification.

11. Modifications to the App and Terms

Mithium reserves the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. Mithium shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

We may update these Terms from time to time to reflect changes in the App, our practices, or legal requirements. When we make material changes, we will update the "Effective date" at the top of these Terms.

Your continued use of the App after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Mithium operates, without regard to its conflict of law provisions.

12.2. Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through good faith negotiations. If negotiations fail, disputes may be subject to binding arbitration or litigation in accordance with applicable law.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mithium regarding the App and supersede all prior or contemporaneous communications, agreements, or understandings, whether oral or written.

15. No Waiver

Mithium's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Mithium.
